End User License Agreement

IMPORTANT - READ CAREFULLY: This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Rave Generation for the audio software products, which include computer software and may include associated media, printed materials, and "online" or electronic documentation (collectively "SOFTWARE PRODUCTS"). This EULA covers all SOFTWARE PRODUCTS published by Rave Generation, including all current and future releases, unless a separate EULA is provided with a specific product.

By installing, copying, or otherwise using any of the SOFTWARE PRODUCTS, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the SOFTWARE PRODUCTS.

1. GRANT OF LICENSE

This EULA grants you the following rights:

1.1 Installation and Use

Rave Generation grants you a non-exclusive, non-transferable license to install and use each SOFTWARE PRODUCT you have purchased on up to 2 computers simultaneously, provided these computers are owned by you or under your control and used by you only. If you need to use any SOFTWARE PRODUCT on more computers, you must purchase additional licenses.

1.2 Authorization System

The SOFTWARE PRODUCTS include software authorization systems designed to prevent unauthorized use. Each license is a unique 6-block code (XXXX-XXXX-XXXX-XXXX-XXXX-XXXX) that must be entered on first launch to activate the SOFTWARE PRODUCT on your system. Verification of authorized use may require internet connection during installation, registration, and updates.

2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS

2.1 Audio Content and Intellectual Property

All audio samples, presets, demo material, documentation and other content included with the SOFTWARE PRODUCTS remain the property of Rave Generation and are licensed, not sold, to you for use only as part of music and audio production. You may use any included content to create your own original works, subject to the restrictions noted in this EULA.

2.2 Restrictions

You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCTS, except and only to the extent that such activity is expressly permitted by applicable law.
You may not rent, lease, lend, or provide commercial hosting services with the SOFTWARE PRODUCTS.
You may not redistribute the SOFTWARE PRODUCTS or their components, including but not limited to any presets, samples, or other audio content.
You may not use the SOFTWARE PRODUCTS to create derivative audio plugins or competitive software products.
You may not circumvent the authorization system or license key mechanism.

2.3 Software Transfer

You may not transfer your rights under this EULA to another end user without prior written permission from Rave Generation.

2.4 Updates and Support

Rave Generation may provide you with updates or upgrades to the SOFTWARE PRODUCTS that must be installed according to the accompanying instructions. Support will be provided according to the terms described on our website (https://ravegeneration.io).

3. COPYRIGHT AND OWNERSHIP

3.1 Intellectual Property

All title, including but not limited to copyrights, in and to the SOFTWARE PRODUCTS and any copies thereof are owned by Rave Generation or its suppliers. All title and intellectual property rights in and to the content which may be accessed through use of the SOFTWARE PRODUCTS is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties.

3.2 VST Technology

VST is a trademark of Steinberg Media Technologies GmbH. The SOFTWARE PRODUCTS use VST technology by SDK license from Steinberg Media Technologies GmbH.

3.3 Third-party Components

The SOFTWARE PRODUCTS may include third-party software components. Any such components are subject to the terms and conditions of their respective licenses, which may be included with the SOFTWARE PRODUCTS.

3.4 Original Development

The SOFTWARE PRODUCTS represent original development work by Rave Generation, implementing industry-standard digital signal processing techniques and filter topologies. Rave Generation makes no claim of affiliation, endorsement, or connection with any third-party hardware or software manufacturers. Any similarities in interface design, control layout, or audio characteristics to existing hardware or software products are the result of implementing established audio engineering principles and industry-standard approaches to user interface design. All product names, trademarks and registered trademarks mentioned are the property of their respective owners, and are used solely to identify the hardware or software whose sound or behaviour is referenced.

4. AUDIO OUTPUT RIGHTS

4.1 Commercial Use of Processed Audio

You may use audio processed through the SOFTWARE PRODUCTS in commercial and non-commercial productions, including records, compositions, soundtracks, and performances without additional fees or acknowledgments to Rave Generation.

4.2 Limitations on Audio Content

Sample content, presets, and demo material included with the SOFTWARE PRODUCTS may not be used on a standalone basis outside of musical compositions. You may not repackage or redistribute these materials in any form as sample packs, sound libraries, or similar products.

5. TERMINATION

Without prejudice to any other rights, Rave Generation may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the SOFTWARE PRODUCTS and all of their component parts.

6. WARRANTY & LIABILITY

6.1 Limited Warranty

Rave Generation warrants that the SOFTWARE PRODUCTS will perform substantially in accordance with the accompanying documentation for a period of 30 days from the date of receipt. To the maximum extent permitted by applicable law, Rave Generation further disclaims all warranties, either express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose, with regard to the SOFTWARE PRODUCTS and any accompanying hardware.

6.2 Customer Remedies

Rave Generation's and its suppliers' entire liability and your exclusive remedy shall be, at Rave Generation's option, either (a) return of the price paid, if any, or (b) repair or replacement of the SOFTWARE PRODUCT that does not meet the Limited Warranty. This Limited Warranty is void if failure of the SOFTWARE PRODUCT has resulted from accident, abuse, or misapplication.

6.3 No Liability for Consequential Damages

To the maximum extent permitted by applicable law, in no event shall Rave Generation or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the SOFTWARE PRODUCTS, even if Rave Generation has been advised of the possibility of such damages.

7. SYSTEM REQUIREMENTS

System requirements may vary by product. Please refer to each product's documentation or the Rave Generation website for specific system requirements. Generally, Rave Generation SOFTWARE PRODUCTS require:

Operating system: macOS 10.13 or later / Windows 10 or later
Software: Digital Audio Workstation (DAW) that supports VST3 or AU plugins
Processor: Intel Core i5 (or equivalent) or higher for optimal performance
RAM: 4 GB minimum (8 GB or more recommended for larger projects)
Disk Space: Requirements vary by product

8. MISCELLANEOUS

8.1 Governing Law

This EULA shall be governed by the laws of the Netherlands without regard to conflicts of law provisions.

8.2 Entire Agreement

This EULA constitutes the entire agreement between you and Rave Generation relating to the SOFTWARE PRODUCTS and supersedes all prior or contemporaneous understandings regarding such subject matter.

8.3 Severability

If any provision of this EULA is held to be unenforceable for any reason, such provision shall be reformed only to the extent necessary to make it enforceable, and the remaining provisions of this EULA shall not be affected.
